Service Agreement

Acceptance of Terms
Welcome to Storyraise Technology Inc.! By accessing or using any Storyraise Technology Inc. website, mobile application, or product, including Precision – a product of Storyraise Technology Inc. (hereinafter referred to as “Precision”), you agree to abide by and be bound by the following Terms of Service, which include the Site Terms for Storyraise Technology Inc. and the specific Terms and Conditions for Precision (collectively, the “Terms”). Please read these Terms carefully. If you do not agree to all of these terms, do not use any Storyraise Technology Inc. services or products, including Precision.

Ownership and Intellectual Property

2.1. Storyraise Technology Inc. Content: Any content that the Customer publishes, uploads, or otherwise makes available on or through the Storyraise platform ("Customer Content") is and shall remain the sole property of the Customer. The Customer retains all rights, title, and interest in and to the Customer Content, including any intellectual property rights associated therewith. Storyraise Technology Inc. shall have a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the Customer Content solely for the purpose of providing the agreed-upon services under this Agreement.

2.2. Precision: Precision, a web-based app provided by Storyraise Technology Inc., allows nonprofit organizations to customize web-based reports for donors with their name, giving amount, and other donor information. Precision and its content are owned by Storyraise Technology Inc. and are protected under copyright and other intellectual property laws.

2.3. Trademarks: “Storyraise Technology Inc.” and related trademarks, logos, and product or service names are trademarks of Storyraise Technology Inc. and its suppliers or licensors. You may not use any Storyraise Technology Inc. trademark or proprietary graphic without explicit written permission from Storyraise Technology Inc.

Use of Storyraise Technology Inc. Services and Products

3.1. Authorized Use: Storyraise Technology Inc. services and products, including Precision, are intended for use by customers of Storyraise Technology Inc. Users must use Storyraise Technology Inc. services and products in compliance with all applicable laws and regulations.

3.2. Prohibited Activities: Users are specifically prohibited from:

(a) Violating any copyright, trademark, or other intellectual property rights of Storyraise Technology Inc. or any third party.

(b) Engaging in any illegal, fraudulent, or unauthorized activities.

(c) Interfering with or disrupting the functionality of Storyraise Technology Inc. services or products.

(d) Collecting or storing any personally identifiable information from Storyraise Technology Inc. services or products without proper authorization.

3.3 Cancellation and Ongoing Hosting: Customers must have a subscription in good standing for a report to be hosted with Storyraise. Customers who cancel a subscription with full access to the Storyraise platform can opt-in to a hosting plan to keep the digital assets hosted in the live environment. Customers may not have access to edit or produce new reports without renewing their full access subscription.

Privacy and Data Security
4.1. Donor Information (Precision): Nonprofit organizations using Precision shall retain complete control over the donor information collected and stored within the app. Storyraise Technology Inc. will not share this donor information with any third parties without the explicit written permission of the respective nonprofit organization.

4.2. Data Collection and Usage: Storyraise Technology Inc. is committed to protecting your privacy. Please refer to our Privacy Policy for information on how we collect, use, and disclose personal information in connection with Storyraise Technology Inc. services and products, including Precision.

Copyright Infringement Policy
In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable laws, Storyraise Technology Inc. has adopted a policy of terminating, in appropriate circumstances and at Storyraise Technology Inc.’s sole discretion, account holders who infringe the intellectual property rights of Storyraise Technology Inc. or any third party.

Financial Disclosures
6.1. Forward-Looking Statements: Storyraise Technology Inc. may provide forward-looking statements on its websites, applications, or products, including Precision. These statements involve risks and uncertainties and are subject to change. Storyraise Technology Inc. does not guarantee the accuracy of forward-looking statements, and users should not solely rely on them.

6.2. Third-Party Financial Information: Storyraise Technology Inc. may provide links to third-party websites or services containing financial or investment information about Storyraise Technology Inc. Users access these websites and information at their own risk, and Storyraise Technology Inc. does not endorse or adopt any third-party content.

Payment
The Customer will pay the Company a total of the agreed-upon amount per year. The contract is a recurring subscription. Payment will cover services for platform access through twelve months from the first date of payment. The annual subscription will be renewed on the first day of the month prior to your contract date.

Forums and Interactive Services
7.1. Interactive Areas: Storyraise Technology Inc. services or products may include discussion forums, blogs, chat rooms, bulletin boards, message boards, or other interactive areas (“Interactive Areas”). Users are solely responsible for their use of Interactive Areas and any content posted or stored therein.

7.2. Prohibited Content: Users shall not post or upload any content to Interactive Areas that is unlawful, defamatory, obscene, pornographic, harassing, invasive of privacy, or violates any third-party rights.

7.3. Monitoring and Removal: Storyraise Technology Inc. reserves the right to remove, screen, or edit any content posted in Interactive Areas and to access, use, or disclose any information about users to comply with the law or protect Storyraise Technology Inc.’s rights or safety.

Indemnification
Users agree to defend, indemnify, and hold harmless Storyraise Technology Inc., its subsidiaries, affiliates, licensors, employees, agents, and independent contractors from any claims, damages, costs, liabilities, and expenses arising from or related to their use of Storyraise Technology Inc. services and products, including Precision.

Limitation of Liability
In no event shall Storyraise Technology Inc., its directors, members, employees, or agents be liable for any direct, special, indirect, or consequential damages, including loss of use, profits, or data, arising from the use of Storyraise Technology Inc. services or products, including Precision.

Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the use of Storyraise Technology Inc. services or products shall be subject to the exclusive jurisdiction of the courts in Delaware.

Modifications to Terms
Storyraise Technology Inc. reserves the right to modify these Terms and Conditions at any time. Any updates will be posted on the Storyraise Technology Inc. website, and continued use of Storyraise Technology Inc. services or products after such changes implies acceptance of the revised terms.

Termination
Storyraise Technology Inc. reserves the right to suspend or terminate access to its services or products, including Precision, at any time and for any reason without prior notice.
